Overview &amp; Agreement to Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms &amp; Conditions (&#8220;Terms&#8221;) constitute a legally binding agreement made between ZonHack (&#8220;Company,&#8221; &#8220;we,&#8221; &#8220;us,&#8221; or &#8220;our&#8221;) and the client or site user (&#8220;Client,&#8221; &#8220;you,&#8221; or &#8220;your&#8221;), concerning your access to and use of our website (<strong>zonhack.com<\/strong>) and all associated e-commerce management, Pay-Per-Click (PPC) advertising optimization, listing optimization, growth consulting, and auditing services (collectively, the &#8220;Services&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By accessing our website, executing a Statement of Work (SOW), or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Scope of Agency Services<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack operates as an independent e-commerce optimization and account management agency. Specific deliverables, management fees, performance incentives, and timelines are formalized in individual Statements of Work (SOW), Master Services Agreements (MSA), or written client agreements executed between ZonHack and the Client.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Independent Contractor Status<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack provides services strictly as an independent contractor. Nothing in these Terms or any SOW creates a partnership, joint venture, agency, or employment relationship between ZonHack and Client.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Third-Party Marketplaces<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Client acknowledges that ZonHack operates on third-party marketplace platforms, including, but not limited to, Amazon, Walmart, and eBay. ZonHack does not own, control, or operate these platforms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Fees, Invoicing &amp; Payment Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Client agrees to pay all fees under the billing schedule set forth in the applicable SOW or service selection.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Billing Category<\/th><th>Terms &amp; Delivery Schedule<\/th><th>Default \/ Late Fee Terms<\/th><\/tr><\/thead><tbody><tr><td><strong>Monthly Management Retainers<\/strong><\/td><td>Invoiced in advance on the 1st of each billing month. Due upon receipt.<\/td><td>Grace period of 5 business days.<\/td><\/tr><tr><td><strong>PPC \/ Ad-Spend Percentage Fees<\/strong><\/td><td>Invoiced monthly in arrears based on verified account spend\/revenue metrics.<\/td><td>Due within 7 calendar days of invoice date.<\/td><\/tr><tr><td><strong>Audit &amp; Project-Based Fees<\/strong><\/td><td>A 50% upfront deposit is required before work begins; the remaining 50% is due upon delivery.<\/td><td>Final deliverables will be withheld until the deposit\/balance clears.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<h3 class=\"wp-block-heading\">3.1 Late Payments &amp; Suspension of Services<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Invoices unpaid after seven (7) business days past the due date shall incur a late fee of 1.5% per month (or the maximum allowable by law).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack reserves the right to suspend all active advertising campaigns, optimization work, and seller account management services if an account remains past due for more than fourteen (14) calendar days.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3.2 Payment Methods &amp; Banking Protocols<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Payments must be remitted via approved corporate electronic funds transfers, including ACH transfers, international wire transfers, or credit card processing through our authorized payment processing gateways (e.g., nsave, Stripe).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Client is responsible for all bank wire fees or conversion costs incurred during remittance.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3.3 Chargebacks &amp; Disputed Payments<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Client agrees to contact ZonHack directly to resolve any invoice disputes prior to initiating a chargeback or payment reversal with their bank or credit card provider.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unilateral chargebacks initiated in violation of this clause constitute a material breach of contract and make Client liable for all collection costs, legal fees, and administrative charges ZonHack incurs to recover funds.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Marketplace Policies &amp; Disclaimers<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">While ZonHack applies industry standards and expert methodologies to maximize account performance and maintain policy compliance, Client explicitly understands and accepts the following operational realities:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Algorithm &amp; Policy Changes:<\/strong> Third-party marketplaces frequently update search algorithms, fee structures, advertising rules, and terms of service without prior notice. ZonHack shall not be held liable for sudden shifts in performance or ranking resulting directly from platform-wide algorithm overhauls.<\/li>\n\n\n\n<li><strong>Account Suspensions &amp; Restrictions:<\/strong> Third-party marketplaces reserve sole right over account status, seller suspensions, listing suppressions, and Buy Box eligibility. ZonHack makes no guarantee against automated platform suspensions resulting from supplier defects, product authenticity claims, trademark disputes, or pre-existing account health infractions occurring prior to ZonHack&#8217;s engagement.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">5. Intellectual Property Ownership<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">5.1 Client Materials<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Client retains absolute and exclusive ownership of all pre-existing trademarks, logos, brand guidelines, product photography, listing content, and proprietary assets provided to ZonHack to perform the Services (&#8220;Client IP&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Client grants ZonHack a limited, non-exclusive, non-transferable license to use Client IP solely to perform the agreed Services.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">5.2 Agency Materials &amp; Work Product<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack retains exclusive ownership of all proprietary frameworks, audit templates, automated software scripts, Looker Studio dashboard configurations, campaign structure methodologies, and internal SOPs used during service delivery (&#8220;Agency IP&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Custom ad copy, graphic designs, and written content generated specifically for Client&#8217;s marketplace listings shall vest with Client upon full and complete payment of all fees owed to ZonHack.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Confidentiality<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Each party agrees to treat as confidential all non-public information the other party discloses during the engagement, including sales figures, ad spend, supplier details, business strategies, and technical setups (&#8220;Confidential Information&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by applicable law or to vetted sub-processors under equivalent non-disclosure obligations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Limitation of Liability &amp; Indemnification<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">7.1 Consequential Damages Waiver<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by law, neither ZonHack nor its directors, officers, employees, or agents shall be liable to Client for any indirect, incidental, consequential, special, or punitive damages\u2014including lost profits, lost revenue, lost inventory value, or lost seller account access\u2014arising out of or related to the Services.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">7.2 Aggregate Liability Cap<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack&#8217;s total cumulative liability for any and all claims arising from or related to these Terms or any Statement of Work (whether in contract, tort, or otherwise) shall not exceed the total management fees paid by Client to ZonHack in the three (3) months immediately preceding the event giving rise to the claim.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">7.3 Exclusions from Cap<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The limitations set forth in Sections 7.1 and 7.2 shall not apply to breaches of confidentiality obligations, gross negligence, intentional misconduct, or indemnification obligations hereunder.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">7.4 Client Indemnification<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Client agrees to defend, indemnify, and hold harmless ZonHack and its personnel against any third-party claims, liabilities, losses, or legal costs arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Client&#8217;s breach of marketplace policies;<\/li>\n\n\n\n<li>Patent, trademark, or copyright infringement claims related to Client&#8217;s products; or<\/li>\n\n\n\n<li>Defective or unsafe products sold by Client.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">8. Termination &amp; Off-Boarding<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Either party may terminate a service agreement by providing thirty (30) days&#8217; written notice to the other party, unless otherwise specified in an active SOW.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Upon termination:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Client shall immediately pay all outstanding balances for services rendered through the effective date of termination.<\/li>\n\n\n\n<li>ZonHack shall promptly revoke its API integrations, standard user permissions, and seller account delegate access to Client&#8217;s storefronts.<\/li>\n\n\n\n<li>ZonHack shall return or destroy all Client Confidential Information upon written request.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">9. Governing Law &amp; Dispute Resolution<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of ZonHack&#8217;s operating entity, without regard to conflict-of-law principles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any legal suit, action, or proceeding arising out of or related to these Terms shall be settled through binding arbitration or within the competent courts of ZonHack&#8217;s legal registration venue.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Privacy Policy<\/h1>\n\n\n\n<h2 class=\"wp-block-heading\">1. Introduction<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">ZonHack (&#8220;Company&#8221;, &#8220;we&#8221;, &#8220;our&#8221;, or &#8220;us&#8221;) is dedicated to protecting the privacy and security of personal and business information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This Privacy Policy details our practices for collecting, using, disclosing, and protecting data acquired through <strong>zonhack.com<\/strong> and our professional e-commerce management operations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2.
